These Terms of Service govern your use of Smart Directs. By creating an account or using the service, you agree to these terms. If you do not agree, do not use the service.
Smart Directs is operated by Havnwright Ltd, a software company registered in the United Kingdom. References to "we," "us," and "our" refer to Havnwright Ltd.
Smart Directs is a software-as-a-service platform that helps creators and businesses manage direct-message and comment conversations on Instagram and Telegram. Core features include rule-based and scenario-based auto-replies, a unified inbox, comment-to-DM private replies on Instagram, partnership and finance tracking, lead-capture forms, and a product catalog. We operate the platform using the official Meta Graph API and Telegram Bot API and comply with each platform's developer policies. The service depends on these third-party platforms and is subject to their availability and policy changes.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to register an account. By registering you confirm that the information you provide is accurate and that you have authority to bind your organization (if applicable) to these terms. You are responsible for safeguarding your password and for any activity that occurs under your account. Notify us at security@smartdirects.com promptly if you suspect unauthorized access. We recommend strong, unique passwords; the service requires a minimum of 15 characters.
You agree not to use Smart Directs to send spam, harass or threaten anyone, distribute malware, scrape data outside what your connected channels lawfully provide, impersonate another person or business, or violate any law or third-party right. You agree to comply with Meta's Platform Terms, Instagram Community Guidelines, and Telegram Terms of Service when using the connected-channel features. We may suspend or terminate accounts that we reasonably believe are violating those policies, with or without notice. The service is for legitimate business communication. Smart Directs is not a tool for unsolicited mass outreach.
New accounts begin with a 7-day free trial. No credit card is required to start the trial. After the trial, continued use of paid features requires an active subscription. Subscriptions renew automatically at the end of each billing period unless cancelled. We will email you before each renewal so you have advance notice. We reserve the right to change pricing for future billing periods; existing subscribers will be notified at least 30 days before any price change takes effect.
You can cancel your subscription at any time from inside the app. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then. We do not pro-rate refunds for partial periods. If you believe you have been billed in error, contact billing@smartdirects.com within 30 days and we will investigate.
You retain all rights to the content you create or upload to Smart Directs (auto-reply text, scenarios, forms, products, partnership records, etc.). You grant us a limited license to process this content solely as needed to operate the service for you. The Smart Directs software, logos, brand, and trademarks are owned by Havnwright Ltd and may not be copied or used without written permission, except for normal use of the service.
Smart Directs integrates with Meta (Instagram, Facebook) and Telegram. Your use of those platforms remains subject to their own terms of service. We are not responsible for changes those platforms make to their APIs, policies, or availability. If a platform restricts an integration we use, the corresponding feature may be temporarily or permanently unavailable.
The service is provided "as is" and "as available" without warranties of any kind. We do not guarantee that auto-replies will fire instantly, that messages will never be delayed, or that the service will be uninterrupted or error-free. To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to the service is limited to the amount you paid us in the 12 months preceding the claim, or 100 GBP, whichever is greater. We are not liable for indirect, incidental, consequential, or punitive damages. Nothing in these terms excludes or limits any liability that cannot lawfully be excluded under English law.
You can terminate your account at any time by deleting it from the app. We may terminate or suspend your account if you breach these terms or if we are compelled to do so by law. On termination, your data is deleted from the live database within 30 days, subject to lawful retention obligations.
These terms are governed by the laws of England and Wales. Any dispute arising out of or relating to these terms or the service will be subject to the exclusive jurisdiction of the courts of England and Wales.
We may update these terms over time. If we make material changes, we will notify registered users by email at least 14 days before the change takes effect. Continuing to use the service after the effective date of an update constitutes acceptance of the updated terms.
